Hyperlayer has raised USD $25.8 million in a Series A2 funding round led by Flintlock Capital, valuing the banking technology company at USD $260 million.

The round also included Mouro Capital, Susquehanna Private Equity Investments, and other existing and new backers. The latest financing brings Hyperlayer's total funding to nearly USD $66 million over the past 12 months.

Hyperlayer will use the new capital to expand its product, engineering, and implementation teams and support growth across the US, Europe, and Asia-Pacific. It sells technology that sits above banks' existing systems, helping them introduce new services without replacing core banking infrastructure.

Founded in 2023 by former Morgan Stanley colleagues Rob Rooney and Paul Rolles, the company is targeting banks, credit unions, and other financial institutions under pressure to modernise legacy technology while maintaining resilience and compliance. It recently announced that its products are available in the US.

The deal marks a follow-on investment from Flintlock Capital, an existing backer. As part of the transaction, Joe Shamess, Co-Founder and General Partner at Flintlock Capital, will join Hyperlayer's board of directors.

Hyperlayer said it has won mandates with global Tier 1 banks, although it did not name customers. It presented the latest round as a sign that existing investors are backing its progress for a second time within a year.

Rob Rooney, Co-Founder and Chief Executive Officer of Hyperlayer, pointed to that momentum in comments accompanying the funding news.

"We're fortunate to be backed by deep experts in fintech. They've watched us go from a standing start to mandates with global Tier 1 banks in three years. That's what's convinced them to back where the company goes next," Rooney said.

Board changes

Alongside the fundraising, Hyperlayer announced two leadership changes. Louise Chan, a Board Director and current Chief Operating Officer, will become Chief Commercial Officer, while Ben Helps, the current Chief Strategy Officer, will move into the Chief Operating Officer role.

The changes reflect the functions both executives have already been carrying out as the company expands. Chan has focused on commercial execution, while Helps has led operations and strategy.

Rooney addressed the management changes in a separate statement.

"Both are exceptional colleagues and serious contributors to our success to date. Louise has been closing the deals that prove the model works. Ben has been building the operating discipline and strategy that let us deliver for clients and scale without breaking. These appointments recognize the roles they are already playing as Hyperlayer grows and gathers pace," Rooney said.

Investor view

For Flintlock Capital, the latest round deepens its commitment to a banking software provider operating in a market where many lenders are trying to modernise ageing systems without full core replacements. That approach has drawn growing investor attention as banks weigh the cost, risk, and time involved in large-scale infrastructure overhauls.

Shamess said Hyperlayer had shown demand from major financial institutions and that Flintlock was increasing its support through both capital and board involvement.

"Hyperlayer's promise is clear. Banks, credit unions and other financial institutions must modernize at fintech speed without ripping out the core systems that protect them. A year on, that thesis is proven with world class customers and strong market pull. Leading this round, and joining the board, is us doubling down on where Rob and Paul take the business next," Shamess said.

The fundraising adds to a period of rapid capital raising for Hyperlayer since late 2025. With its post-money valuation now at USD $260 million, the company has secured fresh backing as it seeks to expand its presence across banking markets and hire more staff in technical and delivery roles.
